Snohomish Knitters Guild Bylaws

Bylaws: 
ARTICLE I – NAME AND PURPOSE
1. This organization shall be known as the “Snohomish Knitters Guild" and is not officially associated with any other guild. Hereafter in this document, the Snohomish Knitters Guild is referred to as “SKG”.

2. The purpose of the SKG shall be to provide fiber arts* education and communication to the community and advance creativity and the quality of workmanship in their endeavors. 
*Including but not solely limited to knitting and crocheting.

ARTICLE II – MEMBERSHIP
1. Any person who is interested in supporting the purpose of this guild may become a member by application and payment of dues, regardless of race, color, gender, national origin, sexual orientation, religion, age, or disability.

There are three types of membership:

     a)  Regular (full) membership including but not limited to admittance to regular guild meetings, the right to vote on guild business, a discount on SKG events such as the Fall Retreat, access to our private members’ only files, and an email copy of our monthly newsletter.
     b)  Online (partial) membership, including but not limited to a discount on SKG events such as the Fall Retreat, access to our private members’ only files, and an email copy of our monthly newsletter. Online (partial) members will not be counted as members for voting purposes.
     c)  Family membership, including benefits of the Regular (full) membership for multiple fiber artists residing in one household. 

2. SKG may not form a cooperative in order to obtain a business license or tax number for the purpose of buying knitting and associated supplies at a wholesale price.

ARTICLE III – OFFICERS
1. The management of the affairs of the SKG shall be vested in a Board of Directors composed of five (5) executive officers provided for herein, and such executive Board shall set policy in support of the mission of the SKG. The members of the Board will serve without pay.

2. The Board shall meet at such times and places as the President of the SKG shall direct, or at the call of any three (3) members of the Board.

3. A majority of the SKG Board shall constitute a quorum for transaction of business at any board meeting.

4. Vacancies on the SKG Board shall be filled by appointment by the President with approval of a majority of the members of the Board.

ARTICLE IV – OFFICERS AND DUTIES

1. The officers of the SKG shall consist of a President, a Vice President, a Secretary, a Treasurer and a Member-at-large. Terms of the office for each officer shall be for one (1) year, with the hope that each officer will serve for two (2) terms.

2. The President shall preside at all meetings of the membership, all meetings of the Board of Directors, and shall have ex officio status on any committee established by the SKG. The President, with the advice and consent of the Board of Directors, shall appoint all standing committee chairpersons with the exception of the Programs, Nominating, and Finance committees.

3. The Vice President shall assist the President and serve in the absence of the President. The Vice President shall serve as the chairman of the SKG programs. The Vice President shall have the option and be encouraged to hold the office of the President in the subsequent term to provide continuity in leadership.

4. The Secretary shall keep minutes of all proceedings of meetings of the membership and the Board of Directors. The Secretary shall take care of the correspondence at the direction of the President. The Secretary shall keep accurate and current lists of members in good standing, together with their current contact information.

5. The Treasurer shall receive and disburse all monies and present a statement of the current financial condition at all meetings of the Board of the SKG. The Treasurer shall insure that any SKG membership forms are forwarded to the Secretary and dues collected from the Guild membership shall be deposited in the SKG bank account. The Treasurer shall serve as the chairman of the SKG finance committee, if such committee is formed.

6. The Member-At-Large shall serve as Chair of the Nominating Committee, if such committee is formed. The Member-At-Large shall preside over SKG Elections, and shall be a member of the Membership Committee.

ARTICLE V – COMMITTEES
1. The SKG organization shall have the option of forming committees for programs, membership, nominations, newsletter, and finances.
2. The duties of the committees shall be as defined by the Board of Directors of the SKG. 

ARTICLE VI – DUES
The SKG board of directors shall be charged with the responsibility of establishing annual dues for its members.

ARTICLE VII – MEETINGS
1. Board Meetings. There shall be a minimum of six (6) meetings of the SKG Board of Directors spread evenly throughout the calendar year. Notice of such meetings, shall be e-mailed to the last recorded e-mail address of each member of the Board of Directors.

2. Special Meetings. Special meetings of the Board of Directors of the SKG may be called from time to time by any three (3) members of the Board of Directors. Notice of any special meeting shall be e-mailed to each member of the Board of Directors at that member’s last recorded e-mail address at least seven (7) days in advance of such special meeting.

3. Membership Meetings. The Board of Directors shall have the authority to set a membership meeting schedule on a monthly or more frequent basis at the discretion of the Board.

4. Quorum. Twenty percent (20%) of the regular members of the SKG currently in good standing shall constitute a quorum for a regular meeting of the members. Online members will not be counted in the membership count to obtain a quorum unless present.

ARTICLE VIII – ELECTIONS
1. A Nominating Committee chaired by the Member-At-Large shall assume the responsibility of nominating officers of the SKG for the next annual term and shall be prepared to present its proposed slate of officers no later than the monthly Guild meeting one month before the Annual Meeting.

2. Members must be in good standing (dues paid for current year and any additional financial obligations resolved) in order to vote, chair a committee, or run for an elected office in the SKG. Nominees for President and Treasurer must be willing to undergo a background check to increase financial security of the Guild.

3. An annual election of officers shall occur no later than the annual meeting of the Board of Directors in conjunction with the monthly meeting of the members of the SKG . Election is determined by a majority vote.

4. The newly elected officers of the SKG shall take office during the first membership meeting following the annual meeting.

ARTICLE IX
These by-laws may be amended, repealed or altered in-part by a majority of those members present at a scheduled meeting that has a quorum.

ARTICLE X
Basic parliamentary procedure shall govern all procedure and parliamentary matters of the SKG.
